These Terms of Service ("Terms") govern your access to and use of the Z Aurum website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

"Z Aurum," "we," "us," and "our" refer to Z Aurum and its subsidiaries, affiliates, officers, directors, employees, agents, and contractors. "You" and "your" refer to the individual or entity using our Services.

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes your acceptance of the modified Terms.

By using our Services, you agree to:

• Provide accurate and complete information when registering for our Services or communicating with us.
• Maintain the security and confidentiality of any passwords or access credentials associated with your account.
• Use our Services in compliance with all applicable laws and regulations.
• Not use our Services for any illegal or unauthorized purpose.
• Not attempt to probe, scan, or test the vulnerability of our systems or networks.
• Not interfere with or disrupt the integrity or performance of our Services or the data contained therein.
• Provide all necessary materials, approvals, and feedback in a timely manner as required for the completion of your project.

Payment terms for our Services are as follows:

• A 50% non-refundable deposit is required to begin work on your project, which is refundable only if the project has not started. Once the project begins, this deposit becomes non-refundable.
• The remaining 50% balance is due upon project completion.
• Payments must be made in USD. If the client is unable to pay in USD, we can arrange an alternative payment method in the local currency if we have accounts in the client's country. Otherwise, payments should be made through the CEO in Egypt via a bank transfer in either Egyptian Pounds (EGP) or USD.
• All payments must be received before project delivery.
• All fees are exclusive of taxes, which will be added to invoices where applicable.
• We reserve the right to suspend or terminate services if payments are not received on time according to the agreed schedule.

Intellectual property rights are handled as follows:

• Z Aurum retains ownership of all intellectual property rights in our Services, including but not limited to software, designs, code, and methodologies that are not specifically created for you.
• Upon receipt of full payment, you will receive ownership rights to the final deliverables created specifically for your project, as detailed in the project proposal.
• We retain the right to display and use your project as part of our portfolio and marketing materials, unless otherwise agreed in writing.
• You retain ownership of all materials, content, and intellectual property you provide to us in connection with your project.

You agree to indemnify and hold Z Aurum harmless from any claims, damages, or liabilities arising from content or materials you provide to us.

Either party may terminate the service agreement under the following conditions:

• You may terminate the agreement at any time by providing written notice. In such cases, you will be responsible for paying for all services rendered up to the termination date, and no refund will be issued for the initial deposit.
• Z Aurum may terminate the agreement if you breach any of these Terms and fail to cure such breach within 15 days of receiving notice.
• We reserve the right to terminate the agreement if we determine, in our sole discretion, that your project requirements have significantly changed from the original scope, making it impossible or impractical to complete the project as originally agreed.

Upon termination, you will be provided with all completed work for which you have paid, and all rights and obligations of both parties under these Terms will terminate except those which by their nature survive termination.

To the maximum extent permitted by law, Z Aurum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Services.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from our Services.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.

In no event shall our total liability to you for all claims exceed the amount paid by you to Z Aurum for the Services giving rise to the claim.

These Terms shall be governed by and construed in accordance with the applicable laws, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of the jurisdiction where the company is registered, and you consent to the personal jurisdiction of such courts.
